Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the Decision Desk Slack app (“Decision Desk” or the “Service”), a product of Nova Path Group LLC (“Nova Path Group,” “we,” “our,” or “us”).

By installing, using, or purchasing a subscription to Decision Desk, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use Decision Desk. By using the Service, you represent that you meet this requirement.

2. Use of the Service

• You may use Decision Desk only in compliance with these Terms and all applicable laws.

• You are responsible for any content or data entered into Decision Desk by you or your team.

• We grant you a limited, non-exclusive, non-transferable license to use Decision Desk within your Slack workspace.

3. Accounts and Access

• Decision Desk connects through Slack. By installing the app, you authorize us to access certain Slack data as described in our Privacy Policy.

• You are responsible for managing access and permissions within your workspace.

4. Free Trial and Paid Plan

Decision Desk is available for installation through our website at https://decisiondesk.app and will soon be available in the Slack App Directory.

We currently offer:

• A 14-day free trial that provides full access to the Pro Plan features.

• A Pro Plan, billed per seat, available on a monthly or annual subscription basis.

At the end of your trial, your access will end unless you upgrade to the Pro Plan. Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date.

Billing for the Pro Plan is based on the number of active Slack users in your workspace on a recurring monthly date, which aligns with the date your initial trial period began.

For example, if your trial started on the 10th of the month, your billing cycle will renew on the 10th of each subsequent month.

Active user counts are determined automatically using Slack workspace data at the time of billing.

Fees are generally non-refundable except where required by law or otherwise determined at our discretion.

4.1 Taxes

• Subscription prices do not include applicable taxes.

• Depending on your location, taxes (such as sales tax or VAT) may be added at checkout.

• We comply with state and country tax requirements and may collect and remit taxes as required by law.

• Customers are responsible for any additional taxes, duties, or charges imposed by their jurisdiction.

5. Termination

You may remove Decision Desk from your Slack workspace at any time.

We may suspend or terminate your access if you violate these Terms, misuse the Service, or if required by law.

6. Intellectual Property

Decision Desk, including its name, logo, and related content, are trademarks or pending trademarks of Nova Path Group LLC.

All rights, title, and interest in the app, including its technology and content, remain the property of Nova Path Group LLC.

You may not copy, modify, distribute, or reverse-engineer the app except as expressly permitted under these Terms.

7. Disclaimer of Warranties

Decision Desk is provided “as is.” We make no warranties or representations, express or implied, about the Service’s performance, reliability, or suitability for your specific needs.

8. Limitation of Liability

To the maximum extent allowed by law, Nova Path Group LLC is not liable for any indirect, incidental, or consequential damages arising from your use of the Service.

Our total liability for any claim will not exceed the amount you paid for your Pro Plan subscription in the 12 months before the claim arose.

9. Changes to These Terms

We may update these Terms as new features or plans are introduced. When changes occur, we will update the “Effective Date” above.

Continued use of Decision Desk after updates go into effect means you accept the revised Terms.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.
